End User License Agreement for MOPAC 93

MOPAC 93 is the molecular orbital program which was developed by FUJITSU LIMITED (hereinafter called "FJ"), positioning Dr. James J. P. Stewart as the development leader, based on MOPAC 7.0 registered in Quantum Chemistry Program Exchange (hereinafter called "QCPE") and all the rights, titles and interests to newly developed portion of MOPAC 93 are vested in FJ.

Distribution of MOPAC 93 requires prior written agreement with the terms and conditions set forth below since MOPAC 93 is FJ's owned program as mentioned above. QCPE will distribute a set of source code programs, manuals and test data of MOPAC 93 upon receipt of this Agreement signed by the user (hereinafter called "User").

GENERAL CONDITIONS OF THE LICENSE:

1. The User may reproduce and modify MOPAC 93 subject to the condition that the User shall not redistribute MOPAC 93 directly or through QCPE to third parties other than persons of the same department designated below in either its original or modified form. If MOPAC 93 is used to obtain results, and those results are published in the public literature, then the User agrees to acknowledge its use of MOPAC 93 in an appropriate citation. The citation should include;

   a) the name of the product; MOPAC 93

   c) the copyright notice: All Rights Reserved, Copyright
   

   FUJITSU LIMITED 1993 No copyright is claimed in any portions of this computer program that embody previous version of MOPAC and are works of the United States government or in the public domain.

2. If modifications of MOPAC 93 are required in the course of usage and results of this usage are subsequently published, the publication MUST state what these modifications entail and must include an appropriate citation as defined above. The User is encouraged to cite original references which can be found on the manuals of MOPAC 93 when such results as described above are published.

3. If the User desires to redistribute to any third party other than persons of the same department designated below or to combine into the commercialized program MOPAC 93 in either its original or modified form, or to install MOPAC 93 and allow access to and use of the MOPAC 93 to any third party with charging it, the User shall, beforehand, execute the license agreement with FJ separately.

4. The User shall not eliminate the copyright notice of FJ included in the source code and its related documents of MOPAC 93. The User shall place a label containing the same copyright notice as above in this paragraph on each medium copied.

5. MOPAC 93 IS PROVIDED ON AN "AS IS" BASIS AND NO WARRANTIES, EITHER EXPRESS OR IMPLIED, ARISING BY LAW OR OTHERWISE, INCLUDING WITHOUT LIMITATION, ANY IMPLIED WARRENTIES OF FITNESS FOR A PARTICULAR PURPOSE OR MERCHANTABILITY, ARE PROVIDED FOR IN THIS AGREEMENT.

6. The User recognizes that FJ is not obligated to provide consulting services, maintenance and enhancement support for MOPAC 93 to the User.

7. Neither this Agreement nor any of the rights and obligations created herein may be assigned, delegated or otherwise encombered or disposed of by the User to a third party.

TYPES OF LICENSE:

1. Non-profit license which entitles the User who is a person, academic or charitable institution or nonprofit corporation to use MOPAC 93 under the general conditions set forth above. This type of license does not allow any use for commercial (profit-making or proprietary) purpose.
2. Commercial license which entitles a person, academic or charitable institution or nonprofit corporation to use MOPAC 93 for commercial purposes under the general conditions set forth above, or entitles the User who is a profit corporation or any other organization including, without limitation, governmental agency to use MOPAC 93 under the general conditions set forth above.
